OneLogix subscribes to the Codes of Good Practice on B-BBEE. Therefore the B-BBEE scorecard is a crucial yardstick in terms of the company’s own transformation development process. Our latest scorecard was independently verified by EmpowerDex on 5 December 2013, and the company was assessed as a Level 4 contributor.

During December 2013, at the election of OneLogix’s then Black Economic Empowerment (BEE) partner, Izingwe Holdings (Pty) Ltd, the company purchased all of the OneLogix shares held by Izingwe, who wished eight years after the conclusion of the BEE transaction effected in 2005, to realise its investment. The repurchased shares represented 10,25% of the issued share capital of OneLogix.

As a result of this action and in order to restore and improve upon the ownership element of the company’s BEE scorecard, it was announced on 2 December 2014, and ratified by shareholders on 20 January 2015, that OneLogix issue to Kagiso Capital, a wholly owned subsidiary of the well- respected Kagiso Charitable Trust, 28 086 585 OneLogix ordinary shares at R3,60 per share for an aggregate amount of R101,1 million. Kagiso Capital now own 9,89% of the issued share capital of OneLogix. This transaction has improved the ownership element of the OneLogix BEE scorecard.

Furthermore, as announced on 28 November 2014, OneLogix shareholders approved the implementation of two share participation schemes. The Employee Share Participation transaction entitled eligible employees (other than directors and prescribed officers of the group) to obtain an 8,91% indirect shareholding interest in OneLogix, while the Management Share Participation transaction entitled management and executive directors of OneLogix to obtain a 4,46% indirect shareholding in OneLogix. These participation schemes were implemented during January and February 2015, with rights vesting in 2020.
